Terms and Conditions

1. Introduction

Welcome to Cloud Conduit (“we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your access to and use of our Salesforce AppExchange application (the “App”), together with any related websites, documentation, and support services (collectively, the “Services”). By installing, accessing, or using the App, you (“you”, “Customer”, or “User”) agree to be bound by these Terms. If you do not agree, do not install or use the App.

2. Definitions

  • “AppExchange” means the Salesforce online marketplace through which the App is distributed.
  • “Salesforce” means Salesforce, Inc. and its affiliated platform services on which the App operates.
  • “Org” means a Salesforce organization (instance) in which the App is installed.
  • “Customer Data” means any data, records, or content stored in your Org and processed by the App.

3. Eligibility and Salesforce Relationship

The App is a third-party application distributed via the AppExchange. It is not created, sponsored, endorsed, or supported by Salesforce. Your use of the Salesforce platform is governed by your separate agreement with Salesforce, and nothing in these Terms modifies that agreement. You are responsible for maintaining a valid Salesforce subscription with the editions and feature licenses required to run the App.

4. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the App within your Org solely for your internal business purposes. This license is limited to the number of users, Orgs, or subscription tier for which you have registered or paid.

5. License Restrictions

You agree not to:

  • Copy, modify, distribute, sell, sublicense, or lease the App or any part of it.
  • Reverse engineer, decompile, or disassemble the App, except to the extent permitted by applicable law.
  • Use the App to build a competing product or service.
  • Circumvent or disable any license enforcement, security, or usage-metering features.
  • Use the App in violation of the Salesforce AppExchange Program Policies or any applicable law.

6. Installation and Customer Responsibilities

  • You are responsible for properly installing, configuring, and assigning permission sets for the App within your Org.
  • You are responsible for ensuring your users comply with these Terms.
  • You are responsible for the accuracy, quality, and legality of your Customer Data and the means by which you acquired it.
  • You must maintain appropriate backups of your Customer Data; the App is not a backup service.

7. Customer Data and Privacy

The App processes Customer Data within your Salesforce Org to provide its functionality. We access Customer Data only as necessary to provide and support the Services, or as instructed by you. Our handling of personal information is described in our Privacy Policy. You remain the controller of your Customer Data and are responsible for obtaining all consents and providing all notices required for us to process it on your behalf.

8. Subscription, Fees, and Payment

  • Fees, billing frequency, and subscription tiers are as set out on the AppExchange listing or in a separate order.
  • Unless stated otherwise, fees are non-refundable and exclude applicable taxes.
  • If your subscription lapses or payment fails, we may suspend or disable the App in your Org after reasonable notice.

9. Intellectual Property

The App, including all software, source code, designs, trademarks, and documentation, is and remains the exclusive property of Cloud Conduit or its licensors. Except for the license expressly granted in these Terms, no rights are transferred to you. Feedback you provide about the App may be used by us without restriction or obligation to you.

10. Support and Updates

We may provide support and release updates, patches, or new versions of the App at our discretion. Some updates may be delivered automatically through the AppExchange. We may modify or discontinue features of the App, provided that we will not materially reduce core functionality of a paid subscription during its term without notice.

11. Warranty Disclaimer

THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUD CONDUIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Cloud Conduit from any claims, damages, liabilities, and expenses arising from your use of the App, your Customer Data, or your violation of these Terms or applicable law.

14. Term and Termination

These Terms remain in effect while the App is installed in your Org or you use the Services. You may terminate by uninstalling the App. We may suspend or terminate your license for any material breach of these Terms. Upon termination, you must cease using the App and uninstall it from your Org. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction.

16. Changes to These Terms

We may update or modify these Terms from time to time. Material changes will be communicated through the AppExchange listing or other reasonable means. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
